Legal Contract Review Specialist

About the Role

HUNT-EAS is seeking an experienced Legal Contract Review Specialist (LCRS) to support our firm in maintaining the integrity, fairness, compliance, and clarity of all contractual agreements. This critical role involves reviewing, and negotiating a variety of contracts, identifying potential risks, and ensuring alignment with our firm’s risk management principles and business objectives.

Key Responsibilities:

Review and analyze a variety of contracts, including client agreements, vendor agreements, non-disclosure agreements (NDAs), teaming agreements, and vendor certifications.

Identify potential legal, business, and operational risks, and recommend appropriate actions.

Draft, revise, and redline contract language to ensure clarity, accuracy, legal compliance, and adherence to company standards.

Collaborate with legal counsel (including opposing counsel), HUNT employees (including shareholders), and CEO to negotiate terms and finalize agreements.

Maintain an organized contract database and filing system; ensure timely review and turnaround of contracts.

Provide concise summaries and recommendations to management regarding contract obligations, risks, and key provisions.

Stay informed on legal developments, including state-specific regulations (NY, PA, etc.) and federal contract requirements, through liaison with outside counsel and legal resources.

Assist in developing and refining standard contract templates and internal processes to improve efficiency.

Support management in tracking activity related to unsigned contracts.

Provide training to employees on legal, risk, and compliance topics as needed.

Qualifications

  • Associate degree with paralegal certification, OR at least 5 years of relevant paralegal experience at a law firm or in the risk management office of an AE firm.

  • Solid understanding of contract law, legal terminology, and risk assessment principles.

  • Familiarity with AIA and EJCDC standard contract documents.

  • Experience with NY, PA, and federal government contracting requirements.

  • Strong attention to detail with excellent communication and negotiation skills.

  • Demonstrated ability to differentiate legal issues from business considerations and explain complex legal, business, and insurance concepts clearly.

  • High level of integrity and a commitment to fair and transparent risk allocation.

  • Proficiency in Microsoft Word, Excel, Adobe Acrobat, and contract management tools such as DocuSign.

  • Strong organizational skills and the ability to manage multiple priorities in a fast-paced environment.
